Relationship of the Parties
Independent Contractors: Nothing in this Agreement creates an agency, partnership, or joint venture.
Legal Compliance: Vendors must comply with all applicable laws and regulations for telecommunications services provided to BitCall.
Provision of Services
Route Compliance: All routes you supply must comply with relevant telecom regulations, including local and international laws.
Grey Routes: If you offer alternative/grey routes, it is your responsibility to ensure these do not facilitate illegal activities and adhere to any applicable local laws.
Warranties & Representations
Authority: You represent that you have the right to provide the routes, and that their use by BitCall does not infringe third-party rights.
Quality: You warrant that you will maintain route stability, call quality, and uptime as reasonably required.
Indemnification
You agree to defend, indemnify, and hold harmless BitCall from all claims, damages, or liabilities arising out of your routes’ misuse, non-compliance with laws, or breaches of this Agreement.
Data & Confidentiality
Business Data: You shall keep confidential any data or information provided by BitCall regarding usage, prices, or volumes.
User Data: You must handle any personal data in compliance with applicable privacy laws, including UK GDPR where relevant.
Fees & Payment
Pricing: Agreed upon in writing or via separate contract.
Payment Terms: BitCall will pay within the agreed timeframe upon receiving valid invoices.
Dispute Resolution: Discrepancies in usage or billing should be raised promptly in writing.
Term & Termination
Term: This Agreement remains in force until terminated by either party.
Termination: Either party may terminate for convenience with notice or immediately for breach.
Effect of Termination: Vendor must cease provision of routes, and BitCall will settle outstanding invoices in due course.
Limitation of Liability
Neither party shall be liable for indirect or consequential damages.
Cap: Total liability, if any, shall not exceed the amount paid by BitCall to Vendor in the preceding three months.
Governing Law & Jurisdiction
This Agreement is governed by the laws of England and Wales.
Dispute Resolution: Disputes shall be settled in the courts of England and Wales.
